1. Account; Point of Contact; Account Ownership

These Terms of Service, along with our Privacy Policy and the other terms and policies referenced herein, form an agreement (the "Agreement") between you ("Customer", "You", or "Your") and Adam's System ("Adam's System", "We", "Us" or "Our"). This Agreement sets forth the terms and conditions of your use of the ADAM System software, dashboard, and related materials (collectively, the "Services").

If the person entering into this Agreement is acting on behalf of an entity, all references to "Customer", "You" and "Your" shall refer to such entity, and such person represents that they have the authority to bind such entity to this Agreement. For individuals, the Services are available only to those who are at least eighteen (18) years of age and recognized as being able to form legally binding contracts under applicable law.

By using or accessing our Services, you are agreeing to this Agreement and that any previous agreements between you and us with respect to the Services are superseded by this Agreement. We may change or modify this Agreement at any time at our discretion. Any such changes or modifications shall be effective immediately upon the earlier of (i) our email notification to you advising you of such changes, (ii) your electronic acceptance of the revised Agreement, or (iii) your continued use of the Services after we post the amended Agreement to this website.

To access the Services, you provide an email address at checkout, which becomes your primary account identifier and the primary method by which we communicate with you, including for billing and support matters. You agree that the information you provide is current and accurate. We may decline to provide access for any reason, in our sole discretion.

You are responsible for keeping your login credentials secure. We encourage you to use best practices in creating and safeguarding your password. We are not liable for any loss or damage arising from your failure to maintain the security of your account or password. You agree to notify us immediately of any unauthorized use of your account.

2. Our Services

ADAM System is a do-it-yourself software tool that helps users locate and organize money that may already belong to them, such as unclaimed funds and small amounts that often go unnoticed. Access to the Services includes the ADAM software and dashboard, a step-by-step activation walkthrough, and ongoing customer support by email.

ADAM System does not promise or guarantee any specific result, amount of money, or outcome. What you find, if anything, depends on your own circumstances, effort, and the availability of applicable funds or records, which are outside of our control.

As a condition of your use of the Services, you acknowledge and agree that we may share your information with service providers who help us deliver the Services, including our payment processor and support platform.

3. Fees and Payment

ADAM System is offered as a one-time payment of $97 USD. This fee is due at the time of purchase, and access to the Services will not begin until payment is received. There are no recurring charges or subscription fees.

ADAM System is sold through Explodely, an independent retailer and the Merchant of Record for orders placed through our checkout. Your payment card information is submitted directly to our payment processor and is never stored on our own servers. Card and payment information should never be sent to us by email, chat, or any other informal method of communication.

It is your responsibility to review all charges for accuracy. Failure to dispute a charge within 45 days of that charge constitutes your agreement that the charge is valid, and you agree to waive any claims regarding it, other than as provided under our Refund Policy.

All fees are exclusive of any taxes, VAT, or similar charges imposed on the transaction, all of which you are responsible for paying in full.

4. Your Feedback

Any ideas, questions, opinions, recommendations, testimonials, or other feedback that you send us ("Your Feedback"), whether by email, our support desk, or any other channel, is considered non-confidential and non-proprietary. You grant us a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid, sublicensable and transferable right to use, publish, and incorporate Your Feedback for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

We support the protection of intellectual property and will respond to valid notices of alleged copyright infringement sent to our contact address below.

6. Payment Security

Checkout and payment processing for ADAM System are handled by our third-party retailer, Explodely, which is responsible for maintaining applicable payment card industry security standards for the transactions it processes. We do not directly collect or store your full payment card information.

7. Service Availability

We work to keep the ADAM System dashboard and related Services available and accessible, but we do not guarantee uninterrupted or error-free availability. Access may occasionally be affected by factors outside of our reasonable control, including third-party hosting, software, or network issues, or scheduled maintenance.

8. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Adam's System, our affiliates, officers, employees, and agents from and against any claims, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to (i) your breach of this Agreement, (ii) your misuse of the Services, or (iii) your violation of any law or the rights of any third party.

9. Disclaimer of Warranties

YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR OWN RISK AND THAT THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ADAM SYSTEM DOES NOT GUARANTEE ANY SPECIFIC INCOME, EARNINGS, AMOUNT OF MONEY RECOVERED, OR OTHER RESULT. ANY EXAMPLES, TESTIMONIALS, OR CASE STUDIES REFERENCED IN CONNECTION WITH THE SERVICES ARE ILLUSTRATIVE ONLY AND ARE NOT A REPRESENTATION OF WHAT YOU SHOULD EXPECT. No oral or written information or advice provided by us or our representatives will create a warranty of any kind or constitute legal, tax, or financial advice. You are responsible for obtaining such advice from a qualified professional where appropriate.

Certain states or jurisdictions do not allow the exclusion of implied warranties, so one or more of the disclaimers above may not apply to you.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, Adam's System IS NOT LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN THE EVENT OF ANY PROBLEM WITH THE SERVICES, YOUR SOLE AND EXCLUSIVE REMEDY IS TO STOP USING THE SERVICES AND, WHERE APPLICABLE, REQUEST A REFUND IN ACCORDANCE WITH OUR REFUND POLICY.

Certain states or jurisdictions do not allow the limitation of liability for incidental or consequential damages, so the exclusions above may not apply to you.

11. Notices

Notices to you will be sent to the email address on file with your account. Notices to us should be sent to the contact information listed in the Support section below.

12. Miscellaneous

This Agreement shall be interpreted and construed in accordance with the laws of the United States of America, without regard to its conflicts of law rules. If a court of competent jurisdiction rules that any provision of this Agreement is unenforceable, that provision will be modified to the minimum extent necessary to be enforceable, and the remaining provisions will remain in full force and effect.

You may only resolve disputes with us on an individual basis and may not bring a claim as a plaintiff or class member in any class, consolidated, or representative action. This Agreement represents the entire understanding between the parties with respect to the Services and supersedes all prior agreements, written or oral, concerning its subject matter. You may not assign this Agreement without our prior written consent. No failure or delay by either party in exercising any right under this Agreement will constitute a waiver of that right.

13. Delivery Policy

ADAM System is a digital product. Access to the software and dashboard is delivered instantly after purchase, with login details sent to the email address used at checkout.
